Terms of Service

Effective

All legal documents

In short

  • These terms are the agreement between your company and Asterpolaris for using Sora Build.
  • Your projects, schedules, invoices and files belong to your company. We only use them to run the service for you.
  • Free is for one person. Paid plans are one flat price for the company, billed in advance, and renew until you cancel.
  • Sora Build helps you plan and run jobs. It does not replace your contracts, your trade judgment, or professional legal, tax or safety advice.
  • Clients and trade partners you invite never count as seats, and they have their own Client & Guest Terms.

This summary is here to help. The full text below is what applies.

On this page

1. The agreement

These Terms of Service ("Terms") govern access to and use of Sora Build, including our websites, web app, portals, invoice links and any related services (together, the "Service"). The Service is provided by Asterpolaris ("we", "us", "our").

If you accept these Terms for a company or other organization, you confirm that you have authority to bind it, and "you" and "Customer" mean that organization. If you don't have that authority, or you don't agree, don't use the Service.

These documents form part of the agreement and apply as described in each of them:

If documents conflict, a signed order form wins, then the Service-Specific Terms for the feature concerned, then the Data Processing Addendum (for personal information), then these Terms.

2. Words we use

  • Workspace: a company's account in Sora Build, with its own projects, people, templates and settings.
  • User: a person you add to a workspace as an owner, admin, member, field or viewer seat.
  • Guest: someone invited to take part in a project without a seat, such as a homeowner, owner, owner's representative or trade partner, or someone who opens an invoice link.
  • Customer Data: everything you, your Users and your Guests put into the Service, including projects, schedules, tasks, scope, invoices, comments, approvals, photos and files.

3. Accounts and workspaces

You must be at least 18 and able to form a binding contract to create an account. Give accurate information and keep it up to date.

Keep sign-in details secure and don't share accounts. Tell us promptly if you believe an account has been compromised. You're responsible for activity in your workspace, including what your Users and Guests do there.

Workspace owners control the workspace: who is in it, what role each person has, which features are on for each project, and whether it continues. If the person who created a workspace leaves the company, the company, not that person, keeps the workspace.

4. Plans, billing and taxes

Free is for one person running their own jobs. Standard is one flat price for a company of up to the number of people shown on our pricing page. Enterprise is for larger teams, on terms we agree with you.

A person who works in more than one of your workspaces counts once. Guests never count.

Paid plans are billed in advance, monthly or yearly, through our payment processor, Stripe. They renew automatically for the same period until you cancel. You can cancel at any time from your company's billing settings, and the plan stays active until the end of the period you've paid for.

Prices are shown in Canadian dollars before tax unless we say otherwise. You're responsible for applicable taxes (such as GST/HST, QST, PST or sales tax), which we add to invoices where required.

We may change prices. We'll tell you at least 30 days in advance, and the new price applies from your next renewal. If you don't agree, cancel before then.

If a payment fails, we'll try again and let you know. If it still isn't paid, we may move the workspace to the Free plan or suspend paid features until it is.

Except where the law requires otherwise, fees are non-refundable, including for partly used periods and unused seats.

5. Your data

You own your Customer Data. You give us a limited licence to host, copy, transmit, display and process it only to provide, secure and support the Service for you, and as described in the Data Processing Addendum.

You're responsible for your Customer Data and for having the rights and permissions it needs, including telling the people whose details you add (clients, trade partners, employees) that you use the Service, and getting any consent the law requires before we email or text them for you.

We may create aggregated or de-identified information from use of the Service (for example, how many schedules use a template) to run and improve it. It won't identify you, your company, your projects or any person.

You can export your data while your workspace is active. See ending the agreement for what happens after that.

6. Construction work and professional judgment

Sora Build is a tool for planning and running jobs. Schedules, workday calculations, critical paths, baselines, templates, charts, draw schedules, invoice totals and tax calculations are aids to your own judgment. Check them before relying on them.

The Service does not give engineering, architectural, legal, accounting, tax, lending or safety advice. You remain responsible for your contracts, permits, inspections, site safety, holdbacks and retainage, lien and prompt-payment rules, consumer-protection rules for home buyers, and the tax treatment of what you bill.

We aren't a party to your contracts with clients, owners, lenders, suppliers or trade partners, and we don't supervise or guarantee anyone's work.

7. Payments and other services we connect to

Some features work with services run by other companies, such as Stripe for payments and Intuit QuickBooks Online for accounting. When you turn one on, that company's terms also apply to your use of it, and it handles your information under its own privacy policy.

We aren't responsible for third-party services, and one may change or stop working with the Service. The Service-Specific Terms say more about each.

We are not a bank, payment processor or money transmitter. When your clients pay you online, the payment is made to your own Stripe account.

8. Acceptable use

Use the Service lawfully and as the Acceptable Use Policy describes. Don't try to get around limits, security or access controls, and don't use the Service to build a competing product.

9. New, beta and future features

We add features over time: for example trade partner confirmations, text messages, field questions, RFIs and submittals, purchase orders, pay applications, budgets, drawings, photos and files, daily logs, and other languages. Unless we say otherwise, these Terms and the relevant Service-Specific Terms apply to each feature as it becomes available to you.

Some features may be offered early, marked beta, preview or similar. They may be incomplete, change or be withdrawn, and they are provided as-is, without any commitment on availability or support.

We don't promise that any planned feature will be released, or when.

10. Our service and your feedback

We (and our licensors) own the Service, including its software, design, templates we supply and the Sora Build name and marks. These Terms don't give you any rights in them other than to use the Service as allowed here.

If you send us ideas or feedback, we may use them without owing you anything.

11. Availability, support and changes

We work to keep the Service available and secure, but it may sometimes be unavailable, for example for maintenance or because of problems outside our control.

We may change the Service. If a change removes a significant feature you pay for, we'll tell you in advance where we reasonably can.

Support is provided by email or through the Service, on a reasonable-efforts basis unless an order form says otherwise.

12. Suspension and ending the agreement

You can stop using the Service and close your workspace at any time.

We may suspend access, in whole or for particular Users, Guests or features, if needed to stop a breach of these Terms or the Acceptable Use Policy, a security risk, harm to others, or unlawful activity, or if payment is overdue. Where we reasonably can, we'll tell you first and give you a chance to fix the problem.

Either of us may end the agreement if the other seriously breaches it and doesn't fix the breach within 30 days of notice. We may also end Free plans with 30 days' notice.

When the agreement ends, access to the workspace stops. You can ask us for an export of your Customer Data within 30 days. After that we delete it within a reasonable time, except for copies in backups (which are overwritten on their normal cycle) and records we must keep by law.

Sections that by their nature should survive (including fees owed, your data, disclaimers, limits of liability, indemnity and governing law) survive the end of the agreement.

13. Confidentiality

Each of us will keep the other's non-public information confidential, use it only for this agreement, and share it only with people who need it for that purpose and are bound to keep it confidential. This doesn't cover information that is public, already known, independently developed, or that must be disclosed by law (with notice, where allowed).

14. Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available". We disclaim all warranties and conditions not set out in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service will be uninterrupted or error-free.

15. Limits of liability

To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, or for project delays, liquidated damages or back-charges, even if told they were possible.

To the extent the law allows, each party's total liability under this agreement is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim, or CAD $100 if you use only the Free plan.

These limits don't apply to your payment obligations, to either party's indemnity obligations, or to liability that can't be limited by law.

16. Indemnity

You'll defend and indemnify us against third-party claims arising from your Customer Data, your contracts and work with clients and trade partners, or your use of the Service in breach of these Terms or the law. We'll tell you promptly about any claim and let you control its defence, and we won't settle it without your consent.

17. Governing law and disputes

These Terms are governed by the laws of the province of Canada in which we have our principal place of business, and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts there have exclusive jurisdiction, except that either of us may seek urgent relief in any court that has jurisdiction.

Before starting a formal dispute, we'll both try in good faith to resolve it by talking for at least 30 days.

If you are a consumer, nothing in these Terms takes away rights you have under the consumer-protection laws where you live.

18. Changes to these terms

We may update these Terms. If a change is material, we'll tell workspace owners at least 30 days before it takes effect, by email or in the Service. Continuing to use the Service after that means you accept the updated Terms. If you don't agree, you can close your workspace before the change takes effect.

19. General

  • You may not assign this agreement without our consent, except to a successor of your business. We may assign it to an affiliate or to a successor of our business.
  • Neither of us is responsible for delays caused by events beyond reasonable control.
  • If part of these Terms can't be enforced, the rest still applies. Not enforcing a term isn't a waiver of it.
  • We may send notices by email to workspace owners or through the Service. Send notices to us as described below.
  • This agreement is the whole agreement between us about the Service and replaces earlier discussions about it.
  • The parties have requested that this agreement and related documents be drawn up in English. Les parties ont exigé que la présente convention et les documents connexes soient rédigés en anglais.
