In short
- These terms add to the Terms of Service for particular features. Each applies only when that feature is available to your workspace.
- Online client payments go straight to your own Stripe account. We never hold your money. We charge 0.5% of each Canadian-dollar payment, at most CA$100.
- You decide who you invite and what they see. Approvals in the portal are a record of what someone clicked, not a replacement for a signed change order your contract requires.
- Text messages go only to people who agreed to get them, and they can reply STOP at any time.
- Features that haven't shipped yet are covered here in advance, so the rules are clear the day they do.
This summary is here to help. The full text below is what applies.

1. How these terms work
These Service-Specific Terms add to the Terms of Service for the Sora Build features described below. Words defined in the Terms of Service mean the same here. If these terms conflict with the Terms of Service for a feature, these terms apply to that feature.
Each section applies when the feature it describes is available to your workspace, including features that are released after the effective date above. Some features are only offered in residential or commercial mode, or only to certain roles.
2. Scheduling, templates, baselines and reports
Schedules count workdays using the calendar and holidays set in your workspace. Critical paths, float, baselines, slip, percent complete and charts are calculated from the dates and links your team enters. They are only as accurate as that information.
Templates we supply are general examples, not advice for any particular job, jurisdiction or code. Templates your company creates belong to your company.
Moving a task can move the tasks that depend on it. Review changes before you share dates with clients or trade partners.
3. Client portal
You choose which clients (homeowners, owners, owners' representatives and similar) to invite to a project, and your workspace settings decide what they see. You're responsible for what you share with them.
Only invite people you have a working relationship with, and tell them you use the Service. Invitations and notifications are sent in your company's name.
An approval or decision recorded in the portal shows who clicked what, and when. It doesn't by itself create, change or replace a contract, and it isn't a substitute for a signed change order, notice or other document your contract or the law requires.
Clients use the portal under our Client & Guest Terms. They never count as seats.
4. Invoices, draw schedules and scope
You're responsible for what your invoices say: amounts, taxes and tax numbers, numbering, payment terms, holdbacks or retainage, and anything the law or your contract requires on an invoice or a draw request. Tax calculations use the rates you set.
Each invoice has a private link. Anyone with the link can open that invoice, so send it only to the people who should see it. You can void an invoice to stop it from being paid.
Importing an invoice or price list reads the file you upload to suggest line items. Check the result before using it.
5. Client payments through Stripe
Online client payments are provided by Stripe, Inc. and its affiliates ("Stripe"). To take them, a workspace admin creates or connects your company's own Stripe account. By doing so you agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement, and you authorize us to share information about your company and its invoices with Stripe to set up and run the account.
Your company is the merchant of record for every payment. Charges are made directly on your Stripe account, and payouts go from Stripe to your bank. We never hold your funds or move them on your behalf, and we are not a party to the payment. The only part of a payment we receive is the platform fee described below.
Stripe's processing fees are charged to your Stripe account. We charge a platform fee of 0.5% of each online client payment made in Canadian dollars, up to CA$100 per payment. Stripe deducts it from the payment and pays it to us, and your client isn't charged extra. We don't charge a platform fee on US-dollar payments. The platform fee isn't returned if you refund a payment. We'll tell you at least 30 days before we change the platform fee, and a change applies only to payments made after that date.
Card and bank payment options depend on your country, currency and what Stripe approves for your account. Bank payments (pre-authorized debit in Canada, ACH in the United States) can take several business days to settle and can fail or be reversed after an invoice is shown as paid.
Refunds, disputes and chargebacks are handled in your Stripe Dashboard, between your company, your client and Stripe. You're responsible for answering disputes and for any amounts Stripe recovers from your account.
6. Paying for Sora Build
Subscriptions to Sora Build are charged by card through Stripe Checkout. Stripe stores your card; we keep only the details needed to show it and to bill you. The Terms of Service cover renewals, cancellation and refunds.
7. QuickBooks and other accounting connections
An admin can connect your company's QuickBooks Online account, provided by Intuit Inc. Intuit's terms apply to your QuickBooks account. Connecting gives us access to the QuickBooks company you authorize, and we use it only for the features you turn on.
Where a feature sends or reads accounting data (for example customers, invoices and payments), check your books after each sync. You're responsible for your accounting records. You can disconnect at any time in Settings or from QuickBooks, which stops further access. Other accounting providers we add later are covered by this section.
8. Email and text message notifications
The Service sends emails for your workspace, such as invitations, comment and approval notifications, and invoices. They come from us on your behalf, with replies directed to your team where the feature supports it.
Where a feature sends text messages (for example telling the next trade their task is ready, or asking a trade partner to confirm a date), you must have each recipient's consent to receive them before adding their number, and the messages follow our Text Message Terms. Don't use the Service to send marketing texts.
9. Trade partner portal, confirmations and field questions
Trade partners may be able to see their own work, confirm dates, send questions and photos, and mark tasks done from a link, without a password. Anyone holding that link can act for that trade partner on the tasks it covers, so send links only to the right person, and remove access when the relationship ends.
A trade partner's confirmation or answer is a record of what they sent through the Service. It doesn't replace your subcontract, purchase order or any notice they or you are required to give.
Trade partners use these features under our Client & Guest Terms and never count as seats.
10. RFIs, submittals, pay applications, budgets and purchase orders
These features help you track information and paperwork between your team, designers, owners and trade partners. They don't change who is responsible for design, approvals or payment under your contracts.
Forms and layouts for pay applications, schedules of values, change orders and purchase orders are for convenience. Check that each document meets your contract and any industry form it must follow. We don't license third-party standard forms unless we say so.
Releasing a purchase order or recording a payment in the Service doesn't move money unless a payment feature says it does.
11. Photos, files, drawings and daily logs
You can upload photos, videos, drawings and other files. Upload only files you have the right to share, and be careful with photos that show people, home interiors or security details. Files are visible to the people your settings allow.
We may set limits on file types, sizes and total storage, and we'll tell you about them in the Service. We remove uploads that were started but never posted.
12. Other languages
Where the Service is offered in languages other than English, translations are provided for convenience. If there's a difference in meaning, the English version of these documents applies, to the extent the law allows.
13. Sample projects and demo data
Sample projects, sample companies and demo data are fictional and for exploring the Service. Any resemblance to real people or businesses is coincidental. You can delete sample projects at any time.
14. Beta and early-access features
Features marked beta, preview or early access are offered to try before they're finished. They may change, stop working or be removed, may not be covered by support, and are provided as-is. Please don't rely on them for anything critical. We may ask you for feedback about them.
